BDO advises on sale of Birmingham-based facilities management specialist

Accountancy and business advisory firm BDO LLP has advised on the sale of Birmingham-based facilities management specialist, Trios Group.

The company, which is backed by Rcapital, was acquired in its entirety by Arcus Facilities Management for an undisclosed sum. Arcus FM is an award-winning provider of technology-driven facilities management solutions, employing thousands of people across the UK. The strategic merger takes Arcus FM one step closer to realising its ambition of becoming the largest provider of mobile facilities management services in the UK.

BDO's Midlands corporate finance team advised the shareholders of Trios on the sale, having acted for Arcus FM in 2020 when it was invested in by Soho Square Capital.

The team included Satvir Bungar (pictured), managing director, corporate finance M&A and head of business services M&A. He was supported by Alper Dervish and Patrick Starrett.

Bungar said: “Arcus FM is a rapidly growing FM business that has gone from strength to strength since it was invested in by Soho Square Capital three years ago.

“With both businesses having a 'technology led, people driven approach', Arcus was a perfect choice when we were identifying and introducing a strategic acquirer for Trios.

“Combined, they will create a compelling proposition in the FM sector, particularly enhancing Arcus' mobile capabilities and its foothold in the retail and hospitality sectors where Trios has a strong portfolio.

“This is an exciting deal [for the regional M&A/FM market] and demonstrates the strength and depth of high quality businesses that continue to attract the attention of national players.”

Trios Group, which employs more than 200 people and has offices in Cirencester and Leeds, is a national provider of facility and property-related services, with extensive experience in the public and private property sectors, including commercial, health, distribution, leisure and retail markets.

“In addition, it has a dedicated mobile engineering services, its own in-house technology platform, and a dedicated managed services function to support customers of all sizes manage their estate.

The Trios transaction follows the sale of technical facilities management and energy solutions company, Richard Irvin FM, to RSK earlier this year - a deal that BDO also acted on, again led by Bungar. Richard Irvin FM, which was also backed by R Capital, was acquired by RSK for an undisclosed sum.
